Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of topdevcrew.com and TopDevCrew's services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Our Services
TopDevCrew provides developer staffing and recruitment services, connecting companies ("Clients") with software engineers and technical professionals ("Candidates"). We may offer direct hire, contract, contract-to-hire, and project-based engagements.
Eligibility & Account
- You must be at least 18 years old and able to form a binding contract.
- You agree to provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- Notify us immediately of any unauthorized use.
Candidate Terms
- You represent that all résumé, work history, and credentials provided are truthful and accurate.
- You authorize TopDevCrew to share your profile with prospective Clients for the purpose of placement.
- You agree not to circumvent TopDevCrew by contracting directly with a Client introduced through our Services for a period of twelve (12) months following introduction.
- Placement is not guaranteed. We make no promises regarding the number or quality of opportunities.
Client Terms
- Clients agree to pay applicable fees as set forth in a separate engagement agreement or order form.
- Clients shall use Candidate information solely for evaluation and hiring purposes.
- Clients agree not to hire, retain, or engage a Candidate introduced by TopDevCrew outside our Services for twelve (12) months following introduction without paying applicable placement fees.
- Clients are solely responsible for their own hiring decisions, employment relationships, and compliance with employment laws.
Fees & Payment
Fees, payment terms, and refund policies are governed by the specific engagement agreement, order form, or invoice between TopDevCrew and the Client. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Intellectual Property
All content on the Site — including text, graphics, logos, code, and design — is owned by or licensed to TopDevCrew and protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Prohibited Use
You may not:
- Use the Services for any unlawful purpose or in violation of these Terms.
- Submit false, misleading, or fraudulent information.
- Scrape, harvest, or collect data from the Site by automated means.
- Interfere with the security or operation of the Site.
- Reverse-engineer or attempt to access source code.
- Harass, discriminate against, or unlawfully treat any Candidate or user.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR CANDIDATE OR CLIENT MATCH WILL BE SUCCESSFUL.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPDEVCREW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Indemnification
You agree to indemnify, defend, and hold harmless TopDevCrew and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of any law or third-party right.
Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Sections that by their nature should survive (IP, disclaimers, liability, indemnification, disputes) will survive termination.
Disputes & Governing Law
These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.
Class action waiver: you agree to resolve any disputes on an individual basis and waive any right to bring or participate in a class, collective, or representative action.
General Provisions
- Entire agreement: these Terms (with any engagement agreement) constitute the entire agreement between you and TopDevCrew.
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver: failure to enforce any provision is not a waiver.
- Assignment: you may not assign these Terms; we may assign freely.
- Changes: we may modify these Terms at any time; continued use constitutes acceptance.
